Terms and Conditions of Change Mee

- General
(1) These
General Terms and Conditions (hereinafter referred to as the "Terms")
apply to all contracts, deliveries, and other services provided by Change
Mee (hereinafter referred to as the "Seller"), a company
established under the laws of India, with its registered office at Krystal
square building, Nagala Park, Kolhapur – 416003, Maharashtra, India to private
and commercial end customers (hereinafter referred to as the
"Customers"). Deviations from these Terms by the Customer shall only
apply if the Seller has confirmed them in writing. Individual agreements
between the Seller and the Customer shall take precedence.
(2) These
Terms do not apply to sales partners or wholesale customers of the Seller, who
are instead subject to the distributor’s specific terms and conditions.
(3) The
business relations between the Seller and the Customer are governed by the laws
of India, and any disputes arising under this agreement shall be subject to the
jurisdiction of courts in Kolhapur - Maharashtra, India.
(4) The
contract text is not stored by the Seller after the conclusion of the contract
and is therefore not accessible.
(5) In
the event that the Customer is a merchant or a legal entity under public law,
the place of jurisdiction shall be Kolhapur - Maharashtra, India. This also
applies if the Customer does not have a general place of jurisdiction in India
or if the place of residence or habitual residence is unknown when the claim is
filed.
(6)
Customers have the option to use alternative online dispute resolution. The
Indian government’s [https://smartodr.in/login] may
provide further details for online dispute resolution.
- Contents and Conclusion of
Contracts
(1) The
Seller offers Customers the opportunity to purchase various products, including
Change Mee Rebounders and related fitness equipment, via its online shop
at [changemee.in] The Seller will fulfill orders subject to the provisions of
Section (3) to customers in India and select international markets. Delivery to
other countries may require a customized shipping quote.
(2)
Prices listed in the online shop or catalog are not considered offers, but
invitations to submit an offer. Before placing a binding order, Customers can
continuously correct all inputs through touch screen, keyboard, and mouse
functions. The order summary displayed in the confirmation window allows
further corrections before final submission.
The
purchase contract is concluded as follows: a) If the Customer selects PayPal as
the payment method, the contract is concluded when the payment order is
confirmed to PayPal. b) If the Customer selects Razorpay or other local payment
gateways, the contract is concluded when the payment order is confirmed to the
respective payment service provider. c) In all other cases, the contract is
concluded upon the Seller’s acceptance of the Customer’s order, typically via
an order confirmation email.
(3) If a
Customer is interested in a country not listed for delivery, the Customer
should request a personalized offer from the Seller via email or phone. A
contract is only concluded after the Customer accepts the offer.
(4) The
online shop also offers voucher cards for Change Mee membership or
related services, with terms and conditions detailed at the point of sale.
- No Commercial Resale of
Products
The
commercial resale of goods delivered by the Seller is prohibited unless
otherwise agreed upon in writing with the Seller.
- Prices, GST, and Payment
(1) The prices
for products listed in the online shop include GST (Goods and Services Tax) at
the applicable rate, unless otherwise stated.
(2)
Prices exclude shipping and packaging costs, which are calculated and disclosed
to the Customer during the checkout process. Shipping costs vary depending on
the order value, weight, and destination.
(3)
Payment for purchases may be made via bank transfer, debit/credit card, PayPal,
Razorpay, UPI, or other payment methods available in the online shop, unless
otherwise agreed.
(4) The
Seller will issue an invoice to the Customer, either physically or digitally.
(5)
Payment is due as per the selected payment method: a) For PayPal, payment is
made immediately after confirmation of the order. b) For Razorpay or local
payment gateways, payment is processed immediately after confirmation. c) If
the Customer chooses prepayment by bank transfer, payment is due within 7 days
of order confirmation.
- Delivery and Passing of Risk
(1) Goods
are delivered to the address specified by the Customer. Delivery is from the
Seller's warehouse in India or a designated fulfillment center. Partial
deliveries are possible, provided they do not cause unreasonable inconvenience
to the Customer. Additional costs due to partial deliveries will not be
charged.
(2) The
standard delivery period within India is typically 7-14 business days from the
contract conclusion or, in the case of advance payment, from the date of full
payment. Delivery to international destinations may take longer and will be
quoted separately.
(3) Risk
of accidental loss or damage passes to the Customer when the goods are
delivered to the Customer. If the Customer is a business, risk passes upon
delivery to the courier or shipping agent.
- Retention of Title, Right of
Retention
(1) Goods
remain the property of the Seller until all payments due under the contract
have been made in full.
(2) The
Customer may only exercise a right of retention if their counterclaims have
been legally validated or acknowledged by the Seller. The Customer retains the
right to withhold part of the purchase price in the event of a defect in the
goods.
- Voluntary Right of Return
for Consumers
(1) The
Seller grants a 07-day voluntary right of return for all products, beginning
from the date of delivery.
(2)
Products must be returned in their original packaging. Returns of sale or
special offer items may not be accepted.
(3)
Returns may be made for exchange, credit note, or refund to the original
payment method.
(4)
Return shipping costs will be borne by the Seller.
(5) This
return policy does not affect statutory warranty rights or the right of
cancellation for Consumers under Indian law.
- Liability for Material
Defects and Defects of Title
(1) The
Seller is liable for defects in material or title in accordance with statutory
provisions under Indian law. For businesses, the provisions of the Indian Sale
of Goods Act, 1930 shall apply.
(2)
Damage resulting from improper use, assembly, or storage by the Customer is not
covered under warranty.
(3) If
goods arrive damaged, the Customer should report the issue to the shipping
company immediately and notify the Seller to facilitate claims.
- Exclusion of Liability
(1) The
Seller’s liability for damages resulting from intentional or grossly negligent
actions is unlimited. The Seller is also liable for the negligent breach of
material contractual obligations.
(2) The
Seller is not liable for damages outside of the scope of the contract, except
for personal injury, health damages, or fraudulent concealment of defects.
- Intellectual Property Rights
The
intellectual property rights to all content, designs, and materials related to Change
Mee products and services belong exclusively to the Seller unless otherwise
stated. Customers may not use or reproduce these materials without prior
written consent.
- Privacy and Data Protection
Change
Mee collects, processes, and uses personal data in accordance with the Privacy
Policy and applicable data protection laws, including the Information
Technology (Reasonable Security Practices and Procedures and Sensitive Personal
Data or Information) Rules, 2011, under the Information Technology Act,
2000. All personal data is handled securely and in compliance with data
protection regulations.
